On January 9, 2020, WESCO International, Inc. (the "Company") issued a press
release (the "Press Release") announcing that it has improved its proposal to
acquire Anixter International Inc. ("Anixter"), and that the Anixter board of
directors has determined that the Company's proposal represents a "Superior
Company Proposal" as defined in Anixter's merger agreement with Clayton,
Dubilier & Rice.
A copy of the Press Release is filed as Exhibit 99.1 to this Current Report on
Form 8-K and is incorporated herein by reference.
