Vordere PLC (LSE:VOR) agreed to acquire Five properties in Brazil from Aurora Capital Partners, Ritz Property Investimentos Imobiliarios Eireli and GFG - UK – Limited for £25.9 million on October 21, 2019. As a part of consideration, Vordere PLC has allotted 129.277975 million new ordinary shares at a price of £0.20 per share by way of the issuance of certificated shares. Vordere PLC will submit a prospectus to the UK Listing Authority for admission to trading of the Consideration Shares, which is dependent upon the approval of the Prospectus and the admission of the Consideration Shares to the standard segment of the Official List and to trading on the London Stock Exchange. On October 23, 2019, the High Court of Justice granted John O'Donnell, a shareholder of Vordere PLC, an interim injunction to the effect that, inter-alia, Vordere PLC is prohibited from registering in its register of members any transfer of the 129.3 million ordinary shares which were the subject of a purported share allotment made on or around October 21, 2019. As per the article of December 24, 2019, the acquisition contains a number of conditions subsequent which may prevent the transaction from legally closing. The board is of the opinion that the Brazilian property acquisition is not in the best interests of shareholders and will continue to seek to have the transaction set aside or unwound. As of June 17, 2020, John O' Donnell claim against Aurora Capital is dismissed. Alper Deniz of Greenwoods GRM acted as legal advisor to Vordere PLC.
