VLC Holdings Co., Ltd. (NSE:2467) announced a private placement of 12,000 3rd series warrants, 2,900 4th series warrants at a price of ¥1,000 each together for gross proceeds of ¥14,900,000 and 1st series unsecured bonds for gross proceeds of ¥250,000,000 together for aggregate gross proceeds of ¥264,900,000 on June 25, 2018. The transaction will involve participation from Macquarie Bank Limited. The warrants can be exercised into 100 common shares each at an exercise price of ¥463 between July 12, 2018 and July 10, 2020. The warrants will be issued by a way of third party allotment. The bonds will mature on July 10, 2019. The company reported issuance expenses of ¥54,099,000 including ¥3,000,000 warrant value calculation, ¥5,240,000 registration license tax, and securities registration fees of ¥1,715,000. The transaction is expected to close on July 11, 2018. The transaction has been approved by the board of directors.
