DELAY IN DESPATCH OF CIRCULAR

Reference is made to the announcement of Vital Mobile Holdings Limited (the "Company") dated 15 June 2017 (the "Announcement") with regard to (i) a major and connected transaction in relation to the acquisition of 70% equity interest in the Target Company; and (ii) the possible continuing connected transactions in relation to the Loan Advancements. Unless otherwise defined, capitalised terms used herein shall have the same meanings as those defined in the Announcement.

As stated in the Announcement, a circular (the "Circular") containing, among other things, (i) further details about the Acquisition and the Continuing Connected Transactions; (ii) the recommendations of the Independent Board Committee in relation to the Acquisition and the Continuing Connected Transactions; (iii) a letter of advice from the Independent Financial Adviser to the Independent Board Committee and the Independent Shareholders in relation to the Acquisition and the Continuing Connected Transactions; (iv) a notice of EGM; and (v) other information required under the Listing Rules, will be despatched to the Shareholders in accordance with the Listing Rules on or before 30 June 2017. As additional time is required to gather and prepare the financial information to be included in the Circular, the despatch date of the Circular will be postponed to a date on or before 31 August 2017.
