Vimab Group AB (publ) (OM:VIMAB) has entered into a letter of intent to acquire Elb Kraft Ab for SEK 45 million on April 2, 2024. The initial purchase price is intended to amount to SEK 35 million, divided between a cash payment of SEK 10 million and shares in Vimab Group to a value of SEK 25 million. The subscription price for the consideration shares must correspond to the volume-weighted average price of Vimab Group's share on the Nasdaq First North Growth Market during the ten trading days immediately preceding the conclusion of the share transfer agreement. Furthermore, two additional purchase price can be paid out, provided that the Company achieves pre-established targets for the 24 months immediately following the acquisition. The potential additional purchase price amounts to a maximum of SEK 10 million in cash payments. Net sales for the fiscal year 2023 amounted to approximately SEK 33.6 million with an adjusted EBITDA of approximately SEK 4.2 million, which corresponds to an adjusted EBITDA margin of approximately 12.6 percent. The transaction is conditional on Vimab Group's due diligence and the parties agreeing to enter into a share transfer agreement. Signing of the share transfer agreement and access is planned for June 2024. Vimab Group assesses that the acquisition will have a positive effect on Vimab Group's results in 2024.
