On January 28, 2020, Veritex Holdings, Inc. (the "Company"), the holding company for Veritex Community Bank, a Texas state chartered bank, issued a press release describing its results of operations for the fourth quarter and year ended December 31, 2019. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.



On Wednesday, January 29, 2020 at 8:30 a.m., Central Time, the Company will host
an investor conference call and webcast to review its fourth quarter and year
ended 2019 financial results. The webcast will include a slide presentation that
consists of information regarding the Company's operating and growth strategies
and financial performance. The presentation materials will be posted on the
Company's website on January 29, 2020. The presentation materials are attached
hereto as Exhibit 99.2, which is incorporated by reference.

On January 28, 2020, the Company issued a press release announcing the
declaration of a quarterly cash dividend of $0.17 per share on its outstanding
common stock. The dividend will be paid on or after February 20, 2020 to
shareholders of record as of the close of business on February 6, 2020. The
press release is attached hereto as Exhibit 99.3 and is incorporated herein by
reference.
