EXTRACT FROM THE MINUTES OF EXTRAORDINARY MEETING OF THE BOARD OF
DIRECTORS
The Board of Directors ("Board") held a meeting on March 08, 2023 from 2.00 pm to 3.00 pm, by videoconference. The following members of the Board were present: Mr. José Luciano Duarte Penido ("JP") - President ("PCA"), Fernando Jorge Buso Gomes - Vice-President ("FB"), Daniel André Stieler ("DS"), Eduardo de Oliveira Rodrigues Filho ("ER"), Ken Yasuhara ("KY"), Manuel Lino Silva de Sousa Oliveira ("OO"), Marcelo Gasparino da Silva ("MG"), Mauro Rodrigues da Cunha ("MRC"), Murilo Cesar Lemos dos Santos Passos ("MP"), Rachel de Oliveira Maia ("RM"), Roberto da Cunha Castello Branco ("RCB"), Roger Allan Downey ("RD") and the alternate member André Viana Madeira ("AM"). The meeting was secretariat by Luiz Gustavo Gouvêa, General Secretary of Corporate Governance of Vale S.A. ("Vale"). Therefore, the Board deliberated on the following matter: "READ THE CIG FINAL
REPORT AND APPROVE THE LIST OF CANDIDATES FOR THE 2023 - 2025 BOARD OF
DIRECTORS - The Board took note of the Final Report of the Nominating and Governance Committee. Then, the Board approved by majority, with a contrary vote of the Director MRC, the list of candidates to compose the Board, to be submitted to the decision of Vale's Ordinary General Meeting ("AGO") for the term of office from 2023-2025: (a) Daniel André Stieler; (b) Douglas James Upton; (c) Fernando Jorge Buso Gomes; (d) João Luiz Fukunaga; (e) José Luciano Duarte Penido; (f) Luis Henrique Cals Beauclair Guimarães; (g) Manuel Lino Silva de Sousa Oliveira; (h) Marcelo Gasparino da Silva; (i) Paulo Cesar Hartung Gomes; (j) Rachel de Oliveira Maia; (k) Shunji Komai; and (l) Vera Marie Inkster. I attest that the above information was taken from the minutes of the Board of Directors' meeting.
