(Stock Code: 00340) RESIGNATION OF CHIEF EXECUTIVE OFFICER AND CHANGE OF AUTHORISED REPRESENTATIVE RESIGNATION OF CHIEF EXECUTIVE OFFICER

The board of directors (the "Board") of China Mining Resources Group Limited (the "Company") announces that Mr. Wang Hui ("Mr. Wang") is resigning as the chief executive officer of the Company with effect from 1 June 2016 but will remain as an executive director of the Company. Mr. Wang has taken this decision due to his other business commitments.

Mr. Wang has confirmed that he has no disagreement with the Board during his term of office as the chief executive officer of the Company and there are no other matters relating to Mr. Wang's resignation as the chief executive officer of the Company that need to be brought to the attention of the shareholders of the Company.

The Board would like to express its sincere gratitude and appreciation to Mr. Wang for his valuable contribution during his term of office as the chief executive officer of the Company.

CHANGE OF AUTHORISED REPRESENTATIVE

The Board announces that Mr. Wang is resigning as the authorised representative of the Company for the purpose of Rule 3.05 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") with effect from 1 June 2016.

The Board also announces that Mr. Yeung Kwok Kuen, the executive director and chief financial officer of the Company, would be appointed as the authorised representative of the Company for the purpose of Rule 3.05 of the Listing Rules with effect from 1 June 2016.
