Tongding Interconnection Information Co., Ltd. (SZSE:002491) signed an equity transfer agreement to acquire Tonghao Information Technology (Shanghai) Co., Ltd. from TongDing Group Co., Ltd., Hangzhou Xingqiong Investment LLP and Shanghai Yujing Investment Center (Limited Partnership) for approximately CNY 110 million on November 30, 2018. Shanghai Yujing Investment Center (Limited Partnership) will receive CNY 32.8 million, Hangzhou Xingqiong Investment LLP will receive CNY 32.8 million and TongDing Group Co., Ltd. will receive CNY 43.7 million for the sale of their respective shareholdings in Tonghao Information Technology (Shanghai) Co., Ltd. A first payment of 80% of the transactional price will be paid within 5 days since signing of the relevant agreement and the extant 20% of the transactional price will be paid within 5 days since completion of change of registry procedures. Tongding Interconnection Information Co., Ltd. will use cash to fund the deal.
For the year ending December 31, 2017, Tonghao Information Technology (Shanghai) Co., Ltd. reported net loss of CN 3.2 million. As of December 31, 2017, Tonghao Information Technology (Shanghai) Co., Ltd. reported total assets of CNY 166.7 million and owners’ equity of CNY 166.8 million. The transaction was approved by the 18th meeting of the 4th Directorate of Tongding Interconnection Information Co., Ltd. on November 30, 2018.
Tongding Interconnection Information Co., Ltd. (SZSE:002491) completed the acquisition of Tonghao Information Technology (Shanghai) Co., Ltd. from TongDing Group Co., Ltd., Hangzhou Xingqiong Investment LLP and Shanghai Yujing Investment Center (Limited Partnership) on January 14, 2019. The government of People's Republic of China has approved the transaction.
