Item 1.01 Entry Into a Material Definitive Agreement
On January 21, 2022, Synlogic Operating Company, Inc. ("Synlogic OpCo"), a
wholly-owned subsidiary of Synlogic, Inc. (the "Company"), entered into two
Statements of Work (the "SOWs") with Azzur Cleanrooms-On-Demand - Boston, LLC,
("Azzur") pursuant to a License and Services Agreement (the "License
Agreement"), effective as of April 28, 2021, by and between Synlogic OpCo and
Azzur.
Pursuant to the first of the SOWs (the "First SOW"), Synlogic OpCo has agreed to
pay Azzur $650,000 to renovate and upgrade Azzur's cleanroom space in Waltham,
Massachusetts (the "Azzur Suite") for Synlogic OpCo's expanded use. The second
of the SOWs (the "Second SOW") replaces a previous SOW that Synlogic OpCo
entered into with Azzur on April 29, 2021 (the "Previous SOW"). Pursuant to the
Previous SOW, Synlogic OpCo was granted access to, and use of, the Azzur Suite
for a period of 20 months, from May 2021 to December 2022 (the "Previous Term").
A copy of the Previous SOW is attached as an exhibit to the Company's Quarterly
Report on Form 10-Q for the quarter ending June 30, 2021. The Second SOW
replaces the Previous SOW for the period beginning January 2022 and extends the
Previous Term through March 2023 (the "Term"). The total estimated project cost
during the Term for access to, and use of, the renovated and upgraded Azzur
Suite, and the personnel support and other services, is $2.4 million.

will be attached as exhibits to the Company's Annual Report on Form 10-K for the
fiscal year ended December 31, 2021.
