(d) Appointment of New Director.
On April 14, 2023, the Board of Directors (the "Board") of Splunk Inc. (the
"Company") appointed Yamini Rangan to serve as a member of the Board. The Board
also appointed Ms. Rangan to the Governance & Sustainability Committee of the
Board. All such appointments were effective immediately. Ms. Rangan will serve
in the class of directors whose term expires at the 2024 Annual Meeting of
Stockholders.
There are no arrangements or understandings between Ms. Rangan and any other
persons pursuant to which she was elected as a director. Ms. Rangan has no
direct or indirect material interest in any transaction required to be disclosed
pursuant to Item 404(a) of Regulation S-K.
Ms. Rangan will participate in the director benefits arrangements applicable to
non-employee directors as described in the Company's definitive proxy statement
filed with the Securities and Exchange Commission on May 2, 2022. In addition,
the Company will enter into its standard form of indemnification agreement with
Ms. Rangan.
