Item 8.01 Other Events.

On January, 19, 2023, the Board of Directors of the Company declared a quarterly cash dividend of $0.09 per share on the Company's common stock (the "Dividend"). The Dividend is payable on February 16, 2023 to shareholders of record as of February 3, 2023. A copy of the press release is attached as Exhibit 99.1 to this Report.
