As the 2022 Annual General Meeting of Shareholders of SKY ICT Public Company Limited (the "Company"), held on April 29, 2022, approved various matters regarding the increase of the registered capital of the Company, including the allocation of the newly issued shares of the Company in the amount of 8,000,000 shares at the par value of THB

0.50 per share by the way of Private Placement to the existing shareholders of GFIN (Thailand) Company Limited ("GFIN") as payment in kind for the acquisition of shares in GFIN namely; (1) GFIN Corporation Co., Ltd. (2) Mr. Panomkorn Tangtatsawad (3) Mr. Jane Kasano (4) Mr. Marachai Kongboonma (5) Miss Kednaphas Chokeapisung (6) Mr. Prasert Visarnbuchanee (7) Mr. Korakoch Keitsamart (8) Mr. Vorapote Amnueypol (9) Mrs. Janjaree Lamsam (10) Miss Wichuda Wanichayapong and (11) Mr. Eakaluck Kanitnawakij (collectively referred to as the "Seller Group"). Whereby the Seller Group shall pay the purchase price with 120,000 ordinary shares of GFIN at a par value of THB 100 per share (representing 60% of all issued and paid-up shares of GFIN) instead of cash payment and the Company has set the date for the offering of newly issued ordinary shares to be offered to Seller Group during 13 May 2022 to 29 July 2022.

The Company would like to inform that on May 31, 2022, the Company received payment for newly issued ordinary shares offered to the Seller Group, who is a private placement in the amount of 8,000,000 shares at a par value of THB 0.50 per share with the offering price of THB 11.25 per share, totaling THB 90,000,000 from the Seller Group.

In this regard, the Company would like to inform that the Company has additionally registered the paid-up capital of the Company in the amount of THB 4,000,000 from the original paid-up capital of THB 308,133,287.50 to paid- up capital of THB 312,133,287.50 with the Department of Business Development, Ministry of Commerce on June 6, 2022.
