To receive and consider the audited consolidated financial statements, the directors' report and

the independent auditor's report of the Company for the year ended 31 December 2020.

To re-elect Mr. Huang Jiajue as an executive director of the Company.

To re-elect Mr. Tang Lunfei as an executive director of the Company.

(3)

To re-elect Mr. Chen Zhiwei as a non-executive director of the Company.

To re-elect Mr. Hung Muk Ming as an independent non-executive director of

the Company.

To authorise the board of directors of the Company to fix the remuneration of the

directors of the Company.

To re-appoint Ernst & Young as the auditor of the Company to hold office from the conclusion

of the Meeting until the next annual general meeting of the Company and to authorise the board

of directors of the Company to fix their remuneration.

To grant a general mandate to the directors of the Company to buy back shares not exceeding

10% of the shares of the Company in issue.

5.

To grant a general mandate to the directors of the Company to issue new shares not exceeding

20% of the shares of the Company in issue.

6.

To extend the general mandate to be granted to the directors of the Company to issue new

shares of the Company by adding to it the number of shares bought back by the Company.

  6. This form of proxy must be signed by you or your attorney duly authorised in writing or, in the case of a corporation, must be either under its common seal or under the hand of an officer or attorney duly authorised.
  7. If more than one of the joint holders be present at the Meeting personally or by proxy, that one of the said persons so present whose names stand first on the register of members of the Company in respect of the relevant shares shall also be entitled to vote in respect thereof.
  8. To be valid, this form of proxy, together with the power of attorney or other authority, if any, under which it is signed or a notarially certified copy of that power or authority, must be deposited at the Company's share registrar and transfer office, Tricor Secretaries Limited, at Level 54, Hopewell Centre, 183 Queen's Road East, Hong Kong or via the designated URL (https://emeeting.tricor.hk) by using the username and password provided on the notification letter sent by the Company as soon as possible but in any event not later than 48 hours before the time appointed for holding the Meeting (i.e. not later than 2:30 p.m. on Tuesday, 8 June 2021) or any adjournment thereof.
  9. Completion and deposit of the form of proxy will not preclude you from attending and voting at the Meeting if you so wish.
  10. References to time and dates in this instrument are to Hong Kong time and dates.

  4. You have the right to request for access to and/or correction of your Personal Data in accordance with the provisions of the PDPO. Any such request for access to and/or correction of your Personal Data should be in writing to the Personal Data Privacy Officer of Tricor Secretaries Limited at Level 54, Hopewell Centre, 183 Queen's Road East, Hong Kong.
