PROPOSED CHANGE OF THE AUDITOR OF THE COMPANY

Reference is made to the announcement on the proposed change of the auditor dated 20 September 2019 (the "Announcement") of Shandong Chenming Paper Holdings Limited (the "Company"). Unless otherwise defined in this announcement, the terms used in this announcement shall have the same meaning as those defined in the Announcement.

This announcement is made by the board of directors of the Company (the "Board") pursuant to Rule 13.51(4) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

As regards the Change, save for the information disclosed in the Announcement, Ruihua has also confirmed that there are no matters that need to be brought to the attention of the shareholders of the Company in relation to its resignation as the auditor of the Company.
