On April 28, 2022, Salesforce, Inc. filed a definitive proxy statement soliciting proxies and urged the shareholders to vote against a shareholder proposal, requesting the Board of Directors to adopt a policy, and amend the bylaws as necessary, to require hereafter that the Chair of the Board of Directors be an independent member of the Board, consistent with applicable law and existing contracts, submitted by National Legal and Policy Center at the Company's annual shareholders meeting scheduled to be held on June 9, 2022.
