RPCG Public Company Limited (the "Company") would like to inform you that Board of Directors Meeting No. 7/2020, convened on 12 November 2020 resolved to approve the establishment of a subsidiary Company to support the expansion of the Company's project development as follows:

Company's Name	:	RPCG-JV 1 Company Limited
Registration date	:	Within December 2020
Type of Business	:	Investing in Property Development Company
Registered Capital	:	300,000,000 Baht (three hundred million Baht),
		divided into 3,000,000 ordinary shares at the par value of 100
		Baht per share. The value of the initial called-up shares of 25%,
		the amount of 75 million Baht
Shareholders' Proportion :	RPCG Public Company Limited held 299,999,998 shares
		Mr.Satja Janetumnugul held 1 share
		Mr.Tawat Ungsuprasert held 1 share
Source of funds	:	Company's working capital
List of Directors	:	Mr.Satja Janetumnugul, Mr.Tawat Ungsuprasert,
		Mr.Suthud Khancharoensuk, Mr.Supapong Krisnakarn

In case, the Company has an additional information will be informed later. The establishment of new subsidiary companies are not connected transaction, but it is considered as asset acquisition. The transaction value is 6.68 percent, calculated by applying the total value of consideration basis based on the consolidated financial statements for the second quarter of 2020 on 30 June 2020. After accumulating with all asset acquisition transactions in the past 6 months, the total transaction value is 9.95 percent. Therefore, it is not considered as a material transaction deemed as acquisition or disposition of assets as per the Notification of the Capital Market Supervisory Board No.TorJor 20/2551 Re: Rules on Entering into Material Transactions deemed as Acquisition or Disposition of Assets (and its amendments) and the Notification of the Board of Governors of the Stock Exchange of Thailand regarding the Disclosure of Information and Other Acts of Listed Companies Concerning the Acquisition and Disposition of Assets B.E.2547 (and its amendments). However, the Company is obliged to disclose the information on the establishment of these new subsidiary companies to the Stock Exchange of Thailand according to the regulations of the Stock Exchange of Thailand No.BorJor/Por 11-00 Re: Rules, Conditions and Procedures Governing the Disclosure of Information or any Act of a Listed Companies (B.E.2560) (and its amendments).
