PUBLICATION OF THE RESOLUTION PROPOSAL REGARDING THE REMUNERATION OF THE BOARD

OF STATUTORY AUDITORS, AS WELL AS OF THE UPDATED PROXY FORMS

Milan, May 7, 2021 - In view of the Shareholders' Meeting called for May 20, 2021, in a single call, Retelit S.p.A. (the "Company") announces that the resolution proposal with regard to the remuneration of the Board of Statutory Auditors, made by the shareholder Marbles S.p.A. (previously, Marbles S.r.l.) within the term and with the modalities provided in the call notice, is available to the public at the Company's registered office in Milan, Via Pola No. 9, on the Company's website www.retelit.it (section Investors / Corporate governance / Shareholders' Meetings) and on the storage mechanism "1Info", which can be consulted at the address www.1info.it.

It is also announced that the proxy forms - with voting instructions - to be granted to the appointed representative Computershare S.p.A., updated with respect to all the resolution proposals made by the shareholders, are available on the Company's website www.retelit.it (section Investors / Corporate governance / Shareholders' Meetings).
