The Board of Directors' Meeting of PROEN Corp Public Company Limited ("The Company") No. 6/2022 held on August 11, 2022 passed a resolution approving the company to invest in new Subsidiary, with details as follows

Opinion of the Board of Directors
The Board of Directors' Meeting No. 6/2022 approved the establishment of ICON NEXT Company Limited, Since it is considered that this is a transaction that will benefit the company in the long term.
Opinion of the Audit Committee
Audit Committee Meeting No. 3/2022 there is no conflict of opinion with the Board of Directors.
The establishment and investment in the above new subsidiary is equal to 0.40% of the Company's total assets. When combined with the transactions that occurred during the six-month period, with this item the Company The size of the total asset acquisition transaction is 7.16% of the Company's total assets (Calculated criteria, transaction size with highest value), which does not meet the criteria for approval of the transaction from the shareholders' meeting of the Company in any way. In accordance with the Notification of the Capital Market Supervisory Board No. Tor Jor. 2 0 / 2 5 5 1 Re: Rules on Significant Transactions Categorized as Acquisition or Disposition of Assets dated 31 August 2008 (and as amended) And the Notification of the Stock
Exchange of Thailand on Disclosure of Information and Actions of Listed Companies in Acquisition or Disposal of Assets B.E. 2547 dated 29 October 2004 (including any amendments)
Calculate the transaction size based on the total value of consideration criteria equal = The investment amount x100/ Total assets as of June 30, 2022
The said transaction is not considered as a connected transaction in accordance with the Notification of the Capital Market Supervisory Board No. Tor.Chor. 21/2551 and is not the acquisition of assets having size of transaction within the scope of the Notification of the Capital Market Supervisory Board No. Tor. Chor. 20/2551.
