Background/Description of the Disclosure

In relation to PHA's disclosure dated September 24, 2021, on the Company's plans to partner with Bengga Corporation through a Memorandum of Understanding signed last September 22, 2021, for a partnership in developing a gaming platform in the play2earn gaming category dubbed "PHlay". Wherein PHA and Bengga will conduct a mutual 30-day diligence to assess each other's operations and to evaluate opportunities through a commercial proof of concept with the intent of entering into a joint venture agreement. We would like to inform the PSE that after the due diligence on the proof of concept of Bengga Corporation and the deliberation of the PHA Executive Management, PHA has decided not to invest in a joint venture with Bengga Corporation. PHA has also no plans in the near future to enter the gaming industry.
