Perenti Prices US$450m Guaranteed Senior Notes Offering

Perenti Global Limited ("Perenti") (ASX: PRN) announces the pricing by its wholly owned subsidiary, Perenti Finance Pty Ltd, of US$450 million in aggregate principal amount of 6.5% Guaranteed Senior Notes due 2025 (the "Notes") in an offering to qualified institutional buyers in the United States pursuant to Rule 144A under the United States Securities Act of 1933, as amended (the "Securities Act"), and to certain persons outside the United States in offshore transactions in reliance on Regulation S under the Securities Act. The Notes will be guaranteed by Perenti and certain wholly owned subsidiaries of Perenti.

The settlement of the offering of the Notes is expected to occur in New York on 7 October 2020, and is subject to customary closing conditions.

Upon settlement of the Notes, Perenti intends to apply the net proceeds (i) to fund the early redemption of all of the outstanding US$350 million 6.625% Senior Secured Notes, due May 2022, issued by wholly owned subsidiary, Barminco Finance Pty Limited, and (ii) to repay amounts drawn which are currently outstanding under its revolving credit facilities. Perenti also intends to reduce the aggregate commitments under its revolving credit facilities from A$530 million to A$400 million.
