OPENJOBMETIS S.P.A. COMPLETES THE ACQUISITION OF 100% OF QUANTA S.P.A.

AND 100% OF THE INVESTEE QUANTA RISORSE UMANE S.P.A.

Openjobmetis S.p.A. (Italian Stock Exchange: OJM), one of the leading Employment Agencies, listed on the Italian main market (Mercato Telematico Azionario - "MTA") - STAR segment - managed by Borsa Italiana, announces that following clearance from the Italian Antitrust Authority, as well as following the demerger of the real estate division in favour of the seller, it has today completed the acquisition of 100% of the share capital of Quanta S.p.A., and indirectly of 100% of the subsidiary Quanta Risorse Umane S.p.A.

With respect to the preliminary agreement signed on 25 January 2021 (see Press Release published on 25 January 2021), the parties have by mutual agreement excluded all the foreign companies from the scope of the transaction, the ownership of which remains with the seller.

The agreed consideration is made up, as envisaged, by a cash portion of EUR 20 million, while the quantity of shares assigned in exchange to the seller has been reduced to 528,193 shares, equal to 3.85% of the Company's share capital, in place of the original 685,600 following the exclusion from the scope of acquisition of all the foreign companies belonging to the Quanta group and remaining in the hands of the seller.

The Chairman Marco Vittorelli commented: "We are very happy to welcome the employees of the Quanta group to Openjobmetis. Quanta S.p.A. and Quanta Risorse Umane S.p.A. recorded revenues of over EUR 120 million in 2020 and positive profitability that will certainly provide further growth opportunities once all the processes within the Openjobmetis Group have been rationalised".

Managing Director Rosario Rasizza commented: "2021 started in the best possible way. The market is strong and we demonstrated this with the growth recorded in the first quarter; moreover, the acquisition of Quanta means we envisage this second half-yearbeing particularly interesting".
