On January 24, 2023, News Corporation (the "Company") announced that the Company's Board of Directors (the "Board") received a letter from K. Rupert Murdoch withdrawing the proposal to explore a potential combination of the Company and Fox Corporation. As a result of this action, the Special Committee of the Company's Board has been dissolved. A copy of the Company's press release is attached as Exhibit 99.1 to this Form 8-K and incorporated herein by reference.
