The Board of Directors of MITTEL S.p.A. has approved:

1. a draft proposal for dividend distribution to the Shareholders of Euro 0.12293 per each share in portfolio
2. the calling of an ordinary Shareholders' Meeting

Milan, 11th January 2023 - the Board of Directors of Mittel S.p.A., in today's meeting chaired by Mr. Marco Colacicco, has resolved to propose to the next Ordinary Shareholders' Meeting a partial distribution of the Retained Earnings Reserve related to the financial statements FY 2021 through the payment of a dividend of Euro 0.12293 per share, gross of any applicable substitute tax, for each of 81,347,368 ordinary shares with no par value currently outstanding, thus totalling Euro 10,000,031.95, with ex-dividend date on February 13, 2023 (current coupon nr. 54), entitlement to payment on February 14, 2023 (record date) and dividend payment on February 15, 2023.

The transaction represents a form of return on investment for the Shareholders of the Company, without compromising financial and economic equilibrium of the same.

The Board of Directors has, therefore, resolved to convene a general Shareholders' Meeting on February 10, 2023 to resolve on the proposed distribution.

It is also announced that as of today's date, the illustrative report prepared by the Board of Directors, pursuant to Article 125-ter of the Consolidated Law on Finance, is available to the public, pursuant to Article 84-ter of the Issuers' Regulation, at the company's registered office, on the authorised storage mechanism "NIS-Storage" at www.emarketstorage.itand may be consulted on the website www.mittel.itin the Investor Relations/Shareholders' Meeting section.
