Link and Motivation Inc. (TSE:2170) signed a contract to acquire an additional 36.22% stake in OpenWork Inc. for ¥4.1 billion on November 14, 2019. Under the transaction, Link and Motivation Inc. will acquire 0.163 million shares of OpenWork Inc. Upon closing, Link and Motivation Inc. will increase its stake in OpenWork Inc. from 20% to 56.22%. Link and Motivation Inc. plans to use own funds and borrowings from financial institutions to finance the transaction. For the year ended December 2018, OpenWork Inc. reported net assets of ¥2,225 million, total assets of ¥ 2,423 million, net sales of ¥1,039 million, operating income of ¥496 million and net income of ¥322 million. The transaction was resolved by the Board of and is expected to be completed on January 1, 2020. The transaction is expected to have a negligible impact on consolidated financial results of Link and Motivation Inc. for the fiscal year ending December 2019.

The Matching Division ALT Placement segment provides foreign language teaching lecturers (ALT) to elementary and junior high schools and provides contracting service for English instruction. The Matching Division Recruitment and Dispatch segment provides recruitment and dispatch solutions.
