NOTICE TO THE MARKET
Belo Horizonte, January 24, 2012 - Kroton Educacional S.A.
("Kroton" or "Company") - (BM&FBovespa: KROT11) - pursuant to
the conditions of CVM Instruction 358/2002, as amended,
hereby is informing its shareholders, investors and the
market in general that its Board of Directors, in a meeting
held on this date, accepted the resignation of the Company's
Chief Financial Officer, Mr. Renato Friedrich. The functions
previously performed by Mr. Friedrich shall be exercised by
Mr. Frederico Brito e Abreu, who will also continue to be
responsible for the Mergers and Acquisitions (M&A) area at
Kroton.
Mr. Frederico Brito e Abreu has been with the Company since
2010 as Director of M&A. He holds an MBA degree from INSEAD
and a degree in Business Administration from the Universidade
Católica Portuguesa. Previously, he was Director at Advent
International private equity fund and an executive with
McKinsey & Company, holding positions in New York, São Paulo
and Lisbon.

The Company focuses on developing primary and secondary schools, post-secondary and undergraduate programs, as well as vocational courses.
