Retirement of Officer

Background/Description of the Disclosure

In compliance with Sec.17 of the Securities and Regulation Code and SRC Rules, as well as the PSE Revised Disclosure Rules, we herein disclose certain events/information. The Corporation's Chief Financial Officer and Compliance Officer, Mr. Ysmael V. Baysa, will be retiring effective April 30, 2022. During the regular meeting of the Board of Directors of the Corporation held on April 19, 2022, the Board resolved that effective May 1, 2022, the role of Mr. Baysa as the Chief Financial Officer of the Company shall be fulfilled by Mr. Richard Shin, who was appointed as Chief Financial Officer, effective May 1, 2022. As Chief Financial Officer, Mr. Shin shall be authorized to sign, execute, deliver, file, submit such documents, disclosures, reports and notices, which by their nature are required to be signed by the chief or principal financial officer of the Company. The Board further resolved that effective May 1, 2022, Atty. Valerie F. Amante, the Corporation's Assistant Corporate Secretary, shall also serve as the Compliance Officer of the Corporation.
