Humax Co., Ltd. (KOSDAQ:A115160) agreed to acquire 58.3% in Digi Parts, Inc. from a group of sellers for KRW 18.4 billion on February 8, 2018. As per terms, 0.12 million existing shares and 12000 redeemable convertible preference shares will be acquired in cash. The consideration will be paid by June 30, 2018. In related deal, Humax Co., Ltd. agreed to acquire 0.08 million new shares in Digi Parts, Inc. for KRW 9 billion. Post completion of both the acquisitions, Humax Co., Ltd. will be the largest shareholder in Digi Parts, Inc. The Board of Directors of Humax Co., Ltd. resolved the deal on February 8, 2018. The deal is expected to close on February 28, 2018. As of February 28, 2018, the transaction is expected to close on March 31, 2018. Samjong KPMG Advisory Inc. acted as the financial advisor to Humax.
