Highmark Innovations Inc. entered into a share purchase agreement to acquire Complex Injury Rehab Inc. on March 11, 2021. The purchase price under the agreement will consist of (i) an amount equal to CAD 1,177,000 in cash, subject to post closing increases or decreases for certain indebtedness, transaction expenses, and determinations of working capital relative to target amounts specified in the agreement for which the parties negotiated a holdback from the cash purchase price, as well as (ii) 263,157 Highmark Shares issued to the Complex Injury vendors. Upon completion, complex Injury will become wholly-owned subsidiaries of Highmark. The transaction is subject to delivery of all required governmental consents, authorizations, orders and approvals, the accuracy of representations and warranties, the performance of all obligations under and compliance with all terms of the Complex Injury agreement, and no “material adverse effect” shall have occurred.
