ANNOUNCEMENT

This announcement is made by CAA Resources Limited (the "Company") pursuant to Rule

13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and Part XIVA of the Securities and Futures Ordinance (Chapter. 571, Laws of Hong Kong).

Reference is made to the announcement of the Company dated 19 March 2021 (the "Announcement"). Unless otherwise defined, capitalized terms used herein shall have the same meanings as those defined in the Announcement.

As disclosed in the Announcement, the Company received the Petition from the Petitioner that the Company may be wound up by the High Court on the ground that the Company is unable to pay its debts. The winding up petition was heard before the High Court on 5 May 2021, in which no winding-up order was made, and it was ordered that the next winding up petition hearing shall be held on 30 June 2021.

Shareholders and potential investors are advised to exercise caution when investing in or dealing in the securities of the Company.
