Description (Please provide a detailed description of the event in the box below)	The Board of Directors of Golden Agri­Resources Ltd (the "Company") wishes to announce that the Company will be seeking the approval of its shareholders ("Shareholders") at a special meeting ("SM") to be convened on 25 April 2017, to update its constitution to align and take into account inter alia the amendments to the Companies Act (Chapter 50) of Singapore, to the extent practicable and is permitted by (or is not otherwise contrary to) the laws of Mauritius, and the prevailing listing rules ("Listing Rules") of the Singapore Exchange Securities Trading Limited (the "SGX­ST"). The proposed amendments to the Company's constitution ("Proposed Amendments to Constitution") will be subject to Shareholders' approval by way of a special resolution at the SM. The Company has, today, despatched a circular to Shareholders dated 31 March 2017 (the "Circular") containing, inter alia, further details on the Proposed Amendments to Constitution and the Notice of the SM ("Notice"). Copies of the Circular and the Notice are also available on www.sgx.com. The Company also wishes to inform Shareholders that SGX­ST had, on 22 March 2017, announced amendments to the Listing Rules of the SGX­ST. These amendments are stated to take effect from 31 March 2017 to inter alia enable listed companies to use electronic communications ("Electronic Communications") to transmit annual reports and other documents to its shareholders, subject to the safeguards prescribed therein. The use of Electronic Communications will be in accordance with the Listing Rules of the SGX­ST (as amended). More information on the foregoing can be found in the Circular and the consultation response paper of the SGX­ST dated 22 March 2017 relating to inter alia the use of Electronic Communications.
