MINUTES OF THE BOARD OF EXECUTIVE OFFICERS MEETING HELD ON FEBRUARY 27, 2023, AT 4:30 P.M., AT THE REGISTERED OFFICE LOCATED AT AVENIDA DOUTORA RUTH CARDOSO, 8.501, 8º ANDAR, CONJUNTO 2, PINHEIROS, IN THE CITY AND STATE OF SÃO PAULO.
The meeting was attended by all the executive officers of Gerdau S.A. ("Company"), chaired by Gustavo Werneck da Cunha, the CEO, with Daniela Derzi Barretto acting as the secretary.
The executive officers, in accordance with applicable legislation and the Bylaws, unanimously decided to submit to the Board of Directors the proposal for crediting on March 14, 2023 and paying to shareholders starting from March 23, 2023, dividends calculated at the ratio of twenty centavos real (R$ 0.20) per common and preferred share registered with the transfer agent of the Company on the date of credit. Considering the outstanding shares on this date, the dividends amount to three hundred thirty-two million, seven hundred twenty-two thousand, six hundred twelve reais and twenty-three centavos (R$332,722,612.23), and constitute the advance payment of minimum mandatory dividend established in the Bylaws for the fiscal year ended December 31, 2022.
