MINUTES OF THE BOARD OF DIRECTORS MEETING HELD ON MAY 2, 2024, AT 10 A.M., AT THE REGISTERED OFFICE LOCATED AT AVENIDA DOUTORA RUTH CARDOSO, 8.501, 8º ANDAR, CONJUNTO 2, PINHEIROS, IN THE CITY AND STATE OF SÃO PAULO.

1. The meeting was attended by all the members of the Board of Directors of Gerdau
   S.A.
   ("Company"), pursuant to the Charter, and was presided over by Guilherme Chaga

   Gerdau Johannpeter, with Rafael Lebensold acting as secretary.
2. The Board of Directors unanimously approved the proposal to change the maturity date of the fourteenth (14th) issue of non-convertible, unsecured debentures, in a single series, of Gerdau S.A. ("Debentures"), approved at the Extraordinary Shareholders Meeting of the Company held on August 26, 2014, from August 30, 2024 to August 30, 2034, therefore amending Clause 2, item vii) of the Indenture, which will read as follows: "vii). Maturity date. The maturity date of the debentures will be August 30, 2034, when the Issuer undertakes to make the payment for outstanding debentures at their face value (or balance amount in case of amortizations)."
