gategroup revises its proposal regarding the composition of the Board of Directors - settlement with RBR and Cologny

ZURICH, April 2, 2015 ̶ gategroup Holding AG has today decided to revise its proposal regarding the composition of the Board of Directors.

The proposal to the Annual General Meeting on April 16, 2015 is to elect the following persons as members of the Board of Directors:

- Mr. Andreas Schmid (present), Chairman of the gategroup Board;

- Mr. Remo Brunschwiler (present), Member of the gategroup Board;

- Mr. Anthonie Stal (present), Member of the gategroup Board and Member of the Compensation Committee;

- Ms. Julie Southern (new), Member of the gategroup Board and Member of the Compensation Committee;

- Mr. David Barger (new); Member of the gategroup Board

- Mr. Gerard van Kesteren (new) Member of the gategroup Board (proposed to be subsequently nominated Chairman of the Audit Committee);

- Mr. Frederick Reid (new), Member of the gategroup Board and Member of the Compensation Committee

In addition to three existing gategroup board members who are proposed for re-election, two new board candidates are from the original gategroup slate and two from the slate proposed by RBR Capital Advisors AG and Cologny Advisors LLP.

These proposals have been agreed by RBR Capital Advisors AG and Cologny Advisors LLP who commit themselves to vote in favor of all these candidates.

Ilona De March, Paolo Amato, Heinz Robert Köhli und Tommy Tan have withdrawn their application.

The Board of Directors assumes that this proposal will be supported by the majority of the shareholders. It ensures that the Board of Directors of gategroup has the right size and composition uniting all competences needed for a sustained future of the Company.
