Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On January 31, 2023, the Company filed a Certificate of Change to its Articles of Incorporation (the "Certificate of Change") with the Secretary of State of the State of Nevada that increased the number of the Company's authorized shares of common stock, $0.0001 par value per share, from 200,000,000 shares to 3,000,000,000 shares.
