Certain Common Shares of Fusion Co.,Ltd. are subject to a Lock-Up Agreement Ending on 21-AUG-2017. These Common Shares will be under lockup for 180 days starting from 22-FEB-2017 to 21-AUG-2017.

In connection with the subscription and the sale by underwriter purchase, Hidekatsu Hanai (the seller), Yuuki Hanai, Progress Co., Ltd., Takuya Sasaki, Tomoko Hanai, Yuka Hanai and Makoto Yasuda (company shareholders) agreed that sale of company shares will not be conducted without prior written consent from the lead manager, during the period from the date on which the underwriting agreement is entered into, until August 21, 2017 (180th day after the listing date, including today).
