ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On January 26, 2023, Federated Hermes, Inc. issued the earnings press release
attached hereto as Exhibit 99.1 to report fourth quarter 2022 results. These
results include a $31.5 million non-cash expense related to the impairment of an
intangible asset associated with the 2018 acquisition of Hermes Fund Managers
Limited. The impairment was recorded by management in connection with the
preparation of Federated Hermes' period-end financial statements.
