Littelfuse, Inc. entered into an agreement to acquire Elmos wafer fabrication from Elmos Semiconductor SE for ?93 million on June 28, 2023. Under the agreement, Littelfuse will acquire the Dortmund wafer fab with a highly skilled technology team of approximately 225 employees. All other activities, including testing operations, will remain with Elmos. Following regulatory approvals of the transaction, the consideration will be paid initially ?37 million and the remaining will be paid after closing. The transaction is subject to certain closing conditions and regulatory approvals, among them the investment control procedure under foreign trade law conducted by the German Federal Ministry for Economic Affairs and Climate Action. The closing of the transaction is expected to be effective December 31, 2024. As of August 8, 2023, The German Federal Ministry for Economic Affairs and Climate Action has granted the approval. The antitrust clearance has granted by the German Federal Cartel Office (Bundeskartellamt) on July 27, 2023.
