PARIS, July 19 (Reuters) - French utility EDF said it was setting up an ad-hoc committee that will make a recommendation to its board after the state offered to pay 12 euros per share to take full control of EDF in a 9.7 billion euro ($9.85 billion) buyout offer.

The committee will be tasked with proposing to the board of directors the appointment of an independent expert, added EDF.

The committee will be composed of Bruno Cremel, Colette Lewiner, Philippe Petitcolin and Christian Taxil. (Reporting by Dominique Vidalon; Editing by Sudip Kar-Gupta)
