5.Cause of occurrence:
1) The Company's Shareholders' Meeting passed the resolution on May 20,
2022 of becoming a 100% subsidiary of Dynamic Holding Co., Ltd. (hereinafter
referred to as Dynamic Holding) through share swap, and Dynamic Holding will
acquire all the issued shares of the Company. The base date for share
conversion is August 25, 2022. The Company will terminate the stock listing
and stop public offering on the base date for share conversion.
2) The Company applied to the Financial Supervisory Commission (hereinafter
referred to as FSC) to stop the public offering of securities in accordance
with relevant laws and regulations, which was approved by the FSC
Jinguanzhengfazi No.1110350759 letter, and has been on record. Since August
25, 2022, the public offering of the Company's securities has been suspended.
