PROPOSED AMENDMENTS TO

THE ARTICLES OF ASSOCIATION OF THE COMPANY

This announcement is made by Dynagreen Environmental Protection Group Co., Ltd.* (the"Company") pursuant to Rule 13.51(1) of the Rules Governing the Listing of the Securities on The Stock Exchange of Hong Kong Limited (the "Stock Exchange").

The Resolution Regarding Amendments to the Articles of Association of the Company was considered and approved at the 29th meeting of the third session of the board (the "Board") of directors (the "Directors") of the Company on 30 March 2021. The Company proposed to amend certain articles in the articles of association based on the industrial and commercial registration information of the Company and the promoters (the "Proposed Amendments"). Please refer to the Appendix to this announcement for details. Any English translation of the Articles is for reference only and in case of any discrepancy between the Chinese version and English version, the Chinese version shall prevail.

The Proposed Amendments are subject to the approval of the shareholders of the Company by way of a special resolution at the annual general meeting of the Company (the "AGM"), the obtaining of any approval, endorsement or registration (as applicable) from or with the relevant government authorities in the People's Republic of China.
