Authorization to acquire and use treasury shares

The Annual General Meeting of Daimler Truck Holding AG resolved on May 15, 2024 to authorize the Board of Management to acquire and use treasury shares, including using derivatives, with the approval of the Supervisory Board and in accordance with the provisions published in the Federal Gazette on April 3, 2024, as part of the convocation to the Annual General Meeting 2024 under agenda items 8 (Resolution on the authorization to acquire and use treasury shares and to exclude subscription and tender rights as well as cancellation of the corresponding existing authorization) and 9 (Resolution on the authorization for the use of derivatives in the course of the acquisition of treasury shares as well as for the exclusion of subscription and tender rights).

The shares acquired or to be acquired based on this authorization or a previous authorization can, among other things, be used with the exclusion of the shareholders' subscription rights or can be withdrawn without a further resolution of the general meeting.
