THE SPOKEN WORD IS VALID

Dear shareholders, dear ladies and gentlemen,

Determined, innovative and future-orientated. A team that rises to the challenges. A team that consistently pursues the vision of digital healthcare and drives innovation and progress. This is what characterises us at CompuGroup Medical.

I would like to welcome you to CompuGroup Medical's Annual General Meeting 2024. We are delighted that you have been with us for many years on our journey to digitalize healthcare.

We highly appreciate the dialogue with you. Let us look back together on the past year and look ahead to the future of CompuGroup Medical.

1

The digitization of the healthcare sector has gained significant momentum in 2023. Megatrends such as longer lifespans, the knowledge explosion, individualisation and digitization are key drivers of progress. In Germany, for example, the percentage of medical practices that had met all the requirements for full participation in the possibilities of digitization using the telematics infrastructure by the end of 2023 had risen to 71%. This is an improvement of 28 percentage points compared to the previous year. In addition, according to gematik, more than 15 million e-prescriptions were already redeemed last year. Almost all pharmacies and the majority of doctors' practices were able to issue or accept electronic prescriptions by the end of the year. We, as CompuGroup Medical, accompanied this development with our applications at an early stage and have placed ourselves at the forefront of this fundamental renewal of the healthcare sector.

2

Last year, for example, we provided more than 5 million e-prescriptions from our ambulatory information systems and via our CLIKDOC platform - more than any other e-health provider. In France, we have processed more than 33 million digital documents from Ségur's AxiSanté and HelloDoc software versions, greatly simplifying the management and exchange of patient data. These figures illustrate our commitment and leadership in the digital transformation of healthcare, which ultimately contributes to improved care and more efficient operations.

3

Our leading role in the digital transformation and connectivity of the healthcare sector is not only reflected in our products, but can also be recognised by looking at our key financial figures. Last year, we once again demonstrated that we are addressing the right topics and implementing important trends in a targeted manner. The year 2023 was another step in the right direction for us as a company and for you, our shareholders.

Our sales growth is key evidence of this: revenues rose by 5 percent to a total of 1 billion and 188 million euros in the 2023 financial year. The operative result adjusted for special effects totalled 265 million euros and was therefore within our guidance range. Compared to the previous year, we were able to increase the operative result by 13 percent. This development is also reflected in our EBITDA margin and free cash flow. We were able to increase the EBITDA margin by 1.6 percentage points to

22.3 per cent compared to the previous year, while the free cash flow of 113 million euros at the end of the year 2023 was 64 percent higher than the previous year's figure.

We would like you, our shareholders, to share in this success and are proposing a dividend of EUR 1 per share for the 2023 financial year.

4

Every day, our employees put their heart and soul into developing new, innovative solutions and bringing them to market as quickly as possible in order to further advance the digitization and connectivity of the healthcare sector - for the benefit of patients.

As CompuGroup Medical, we have always been dedicated to the needs of healthcare providers, the everyday heroes in healthcare: doctors, dentists, pharmacists, laboratory technicians, nurses and all medical staff, and ultimately to all of you, the patients. We understand the responsibility that lies with us and strive to offer the best possible solutions to improve the quality of medical care, relieve the burden on doctors, ensure patient safety, advance the healthcare system through digital innovation and thus counteract rising costs.

In recent years, we have seen massive changes in the healthcare industry. Digitization and the constant evolution of technology have revolutionised the way medical information is obtained, managed and shared. We face the challenge of mastering these changes and we are determined that CompuGroup Medical is at the forefront of this transformation.

As a pioneer in connecting all healthcare stakeholders and realising a fully digital patient journey, CompuGroup Medical is at the heart of digital healthcare.

5

We are working hard not only to further develop our products and services, but also to keep the increasing complexity of networked applications simple and effective for our users. Of course, not everything always runs smoothly. In particular, when the introduction of new regulations results in extensive changes to complex processes involving a large number of healthcare providers, initial difficulties can sometimes occur.

One encounter last year that I would like to share with you made me particularly proud. A doctor approached me and asked: "Why can't other companies be like CompuGroup Medical?". I was particularly touched by this question, because that is precisely our aspiration: to be a leader. And to inspire our customers and turn them into long-term companions.

We stand for quality, safety and trust at crucial moments. Our actions are geared towards providing better healthcare for everyone - in line with our corporate purpose:

"Nobody should suffer or die because at some point medical information was missing."

6

We, as CompuGroup Medical, are firmly at the side of the people in the healthcare sector who go the extra mile every day for our benefit - the benefit of us patients. With our established technologies and pioneering innovations. The challenges in the healthcare sector are undoubtedly big, but the opportunities available to us all are just as big.

On average, a doctor in Germany has less than 8 minutes to spend with their patients. This does not meet patients' expectations when they need medical help. This situation cannot be considered satisfactory for a highly developed healthcare system, although it is unfortunately a daily reality.

This is further compounded by the explosive growth in medical knowledge that needs to be captured: Processing this and implementing it therapeutically for the benefit of the patient is one of the greatest challenges facing medical staff worldwide, and one that we want to remedy.

7

The medicine of the future must become more digital, more data-based, more connected and, last but not least, more effective. This is what over 9,000 CompuGroup Medical employees are working on - day after day and week after week.

The introduction of the e-prescription and the electronic patient file symbolise important milestones in the German healthcare system. These achievements impressively illustrate the enormous potential that lies in the digital transformation and networking of the healthcare system.

These achievements are the cornerstone for a digital future of healthcare, which will be characterised by personalisation and patient orientation, prevention and public health. Nevertheless, the healthcare of the future must become far more digital in order to bridge the gap between increasing demand for care, a shortage of skilled labour and limited financial resources.

8

We are convinced of the huge potential of artificial intelligence. This is why CompuGroup Medical made this one of our strategic priorities at an early stage. By using AI, we can channel medical knowledge in an unprecedented way and thus further increase the effectiveness and quality of our products. The use of artificial intelligence in our software solutions not only enables doctors to better identify rare diseases and drive the development of new drugs and therapies, but also to improve efficiency in billing and practice management.

Artificial intelligence will change the healthcare sector, in particular the interaction between doctor and patient as well as the medical possibilities - from prevention to diagnosis and treatment - in a far- reaching way. Shaping change and driving innovation is in our DNA as CompuGroup Medical.

The targeted integration of artificial intelligence, particularly in the context of medical decision support, gives doctors something very fundamental back: time for patients.

9

Our endeavours to use artificial intelligence focus on the development of new, innovative solutions for healthcare providers. One example is the implementation of AI algorithms in our medical imaging systems in order to evaluate radiological image data more effectively and help doctors to make a more precise and even more reliable diagnosis and optimise treatment planning. At the same time, we are working on AI-supported solutions that enable doctors to process large volumes of patient data and create personalised treatment plans.

Furthermore, we are placing a strong focus on three additional pillars of artificial intelligence that are of great importance to us as CompuGroup Medical. We are working on optimising AI-supported software development, and we are concentrating on the application of artificial intelligence in customer service and support in order to improve interaction with our customers and meet their needs more precisely. We are also using AI to optimise administrative processes and increase efficiency in central functions.

This strategic orientation will not only benefit healthcare providers, but also patients.
