1. Data, Hora e Local:Realizada no dia 31 de janeiro de 2012, às 15:00 horas, na sede da Companhia, na rua Mar de Espanha 525, Santo Antônio, CEP 30330-270, na cidade de Belo Horizonte/MG. 2. Presença:Presentes acionistas representantes de 67,73% (sessenta e sete vírgula setenta e três por cento) do capital social com direito a voto, conforme assinaturas constantes do Livro de Presença de Acionistas. Presentes, também, Ricardo Augusto Simões Campos, Diretor Presidente, Valter Zschaber Júnior, Assessor da Presidência e como convidado José Veloso Medrado, Procurador Jurídico da Companhia. 3. Convocação:O Edital de Convocação foi publicado, na forma do Artigo 124 da Lei Federal nº 6.404/1976, no Diário Oficial de Minas Gerais, nas edições dos dias 14, 17 e 18 de janeiro de 2012; no jornal Estado de Minas nas edições dos dias 14, 15 e 16 de janeiro de 2012; e no jornal Valor Econômico, nas edições dos dias 16, 17 e 18 de janeiro de 2012. 4. Mesa:Assumiu a presidência dos trabalhos, na forma do Parágrafo Único do art. 10 do Estatuto Social da Companhia, Ricardo Augusto Simões Campos, Diretor Presidente, que convidou Valter Zschaber Júnior, para secretariá-lo. 5. Ordemdo Dia: (i) retificação da deliberação tomada no item 6.1 b) da Assembleia Geral Extraordinária, realizada em 25/09/2009, relativa à instauração de processo licitatório referente à execução das obras e serviços de ampliação e melhorias do Sistema Rio Manso, etapas de 5m³ e 6m³ e construção da Central Geradora Hidrelétrica com capacidade de 1.000kw, no valor de até R$570.356.890,00. 6. Deliberações: Após a discussão das matérias, foi deliberado, pelo voto dos acionistas presentes, conforme segue: i) aprovar, por unanimidade/maioria de votos, a instauração de processo administrativo licitatório, referente à contratação de Parceria Público Privada - PPP, para execução das obras e serviços de ampliação e melhorias do Sistema Produtor do Rio Manso, por um período de 15 (quinze) anos, com investimentos no valor de até R$457.000.000,00 (quatrocentos e cinquenta e sete milhões de reais), retificando a deliberação tomada no item 6.1 b) da Assembleia Geral Extraordinária, realizada em 25/09/2009, relativa à instauração de processo licitatório, referente à execução das obras e serviços de ampliação e melhorias do Sistema Rio Manso. 7. Encerramento: Nada mais havendo a ser tratado, foram os trabalhos suspensos pelo tempo necessário à lavratura da presente Ata, que, lida, conferida, e achada conforme, foi por todos assinada, tendo sido aprovada na forma de sumário, e a publicação com a omissão da assinatura dos acionistas, de acordo com o artigo 130, da Lei Federal nº 6.404/1976.
