GRANT OF WAIVER FROM STRICT COMPLIANCE

WITH RULE 14.41(A) OF THE LISTING RULES

References are made to the announcement of Come Sure Group (Holdings) Limited (the "Company") dated 10 August 2020 in relation to the major transaction regarding the tenancy agreement entered into between Come Sure Packing Products (Shenzhen) Company Limited* (錦勝包裝(深圳)有限公司), an indirect wholly-owned subsidiary of

the Company, as tenant and Dongguan City Ruixing Paper Products Company Limited* (東莞市瑞興紙製品有限公司) as landlord (the "Major Transaction") and the

announcement of the Company dated 31 August 2020 in relation to the delay in despatch of circular relating to the Major Transaction (the "Delay Announcement"). Unless otherwise stated, capitalized terms used herein shall have the same meanings as ascribed thereto in the Delay Announcement.

As disclosed in the Delay Announcement, since additional time is required for obtaining certain information in the Circular, the Company has applied to the Stock Exchange for a waiver from strict compliance with Rule 14.41(a) of the Listing Rules (the "Waiver").

The Board wishes to update the Shareholders that on 21 September 2020, the Company has obtained the Waiver from the Stock Exchange to postpone the despatch date of the Circular to on or before 23 September 2020. The Stock Exchange may withdraw or change the Waiver if the situation of the Company changes.
