DELAY IN DESPATCH OF CIRCULAR

IN RELATION TO MAJOR TRANSACTION

AND

CONTINUING CONNECTED TRANSACTIONS

Reference is made to the announcement of the Company dated 22 November 2019 (the "Announcement") in relation to, among other things, the Non-Exempt Continuing Connected Transactions. Unless otherwise defined, capitalized terms used herein shall have the same meanings as those defined in the Announcement.

As disclosed in the Announcement, a circular (the "Circular") containing, among others, (i) further details of the Non-Exempt Continuing Connected Transactions and the Proposed Annual Caps;

1. the letter of advice from the independent financial adviser; (iii) the letter of recommendation from the independent board committee; (iv) the notice of the SGM; and (v) other information as required under the Listing Rules, is expected to be despatched to the Shareholders on or before 12 December 2019.

As additional time is required for the Company to prepare and finalise certain information in the Circular, it is expected that the date of despatch of the Circular will be postponed to on or before 31 December 2019.
