LAPSE OF THE SUBSCRIPTION AGREEMENTS

Reference is made to the announcement of the Company dated 16 August 2020 (the "Announcement") in relation to the Subscriptions. Unless the context requires otherwise, capitalised terms used herein shall bear the same meanings as defined in the Announcement.

Pursuant to the Subscription Agreements, the Completion is subject to the fulfilment of the conditions precedent to the Subscriptions by the Long Stop Date (28 August 2020 or such other date as may be agreed between the parties to the Subscription Agreements.) As certain conditions of the Subscriptions have not been fulfilled by the Long Stop Date and the parties to the Subscription Agreements have not agreed on further extension of the Long Stop Date, the Subscription Agreements lapsed on 28 August 2020.

The lapse of the Subscription Agreements would have material impact on the Group's offshore business operation and financial position, the Group may not be able to settle debts and payables offshore as they fall due.
