The board (the ''Board'') of directors (the ''Directors'') of Central China Real Estate Limited (the ''Company'', together with its subsidiaries, the ''Group'') is pleased to

announce that Henan Zhongyuan Central China City Development Limited* (河南中原建

城市展有限) (''CCRE Zhongyuan''), an indirect wholly-owned subsidiary of the

Company, entered into management entrustment contracts for real estate projects with the following parties, respectively:

  1. CCRE Zhongyuan (as trustee) entered into a management entrustment contract for a real

    estate project with a planned gross floor area of approximately 126,000 square meters with Hesheng Investment Holdings Limited* (盛投資有限) (''Hesheng

    Investment'') (as guarantor) and Shangqiu Hesheng (as principal) for a period of 48 months (the ''Shangqiu Zijing Road Project Management Entrustment Contract''). Pursuant to the Shangqiu Zijing Road Project Management Entrustment Contract, CCRE Zhongyuan has been appointed by Shangqiu Hesheng to undertake the development,

    operation and management of the real estate project under the management entrustment contract on a land parcel covering the east and west sides of Zijing Road (紫荊路), north of Huashang Avenue (商大道) and south of Minglun Road () in Suiyang District (陽區), Shangqiu City (丘市), Henan Province of the People's Republic of

    China (the ''PRC'') (the ''Shangqiu Zijing Road Project''), for which CCRE Zhongyuan shall receive a royalty fee and a performance fee in return.

  2. CCRE Zhongyuan (as trustee) entered into a management entrustment contract for a real

estate project with a planned gross floor area of approximately 228,000 square meters with Cai Hongbo (蔡紅波), Liu Shijie (劉士), Liu Dongmin (東民) and Zhao Yinli (銀利) (as guarantors) and Lushan Guiyuan (as principal) for a period of 33 months

(the ''Lushan Yaoshan Avenue Project Management Entrustment Contract''). Pursuant to the Lushan Yaoshan Avenue Project Management Entrustment Contract, CCRE Zhongyuan has been appointed by Lushan Guiyuan to undertake the development, operation and management of the real estate project under the management entrustment contract on a land parcel situated to the south of Yaoshan

Avenue (大道), west of Ankang Road (康路), north of Sichou Road (絲綢路) and east of Luban Road (魯班) in Chengnan New District (城南), Lushan County (), Pingdingshan City (平頂山市), Henan Province of the PRC (the ''Lushan

Yaoshan Avenue Project''), for which CCRE Zhongyuan shall receive a royalty fee and a performance fee in return.

The Shangqiu Zijing Road Project and the Lushan Yaoshan Avenue Project, as the 53rd and 54th projects, respectively, under the light-asset strategy of the Group, will constitute a further new driver of growth for the development of the Group.

To the best of the Directors' knowledge, information and belief having made all reasonable enquiries, Cai Hongbo (蔡紅波), Liu Shijie (劉士), Liu Dongmin (東民), Zhao Yinli (

銀利), Hesheng Investment, Shangqiu Hesheng and Lushan Guiyuan and their respective ultimate beneficial owners are independent third parties (as defined under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the ''Listing Rules'')).

CCRE Zhongyuan is a limited liability company established in the PRC and an indirect wholly-owned subsidiary of the Company. It is principally engaged in real estate development and sales and real estate investment in Henan Province, the PRC with considerable experience in the development and management of real estate projects.

The Shangqiu Zijing Road Project Management Entrustment Contract and the Lushan Yaoshan Avenue Project Management Entrustment Contract do not constitute a notifiable transaction under Chapter 14 of the Listing Rules. This announcement is published by the Company on a voluntary basis to provide its shareholders and potential investors with updated information in relation to the business development of the Group.
