CLARIFICATION ANNOUNCEMENT

Reference is made to the announcements of Carrianna Group Holdings Company Limited (the "Company") dated 8 March 2021 and 31 March 2021 (the "Announcements") in relation to, among other things, the Share Placing, the CB Placing, the Shares Subscription, the Specific Mandate and the Whitewash Waiver. Unless otherwise stated, capitalised terms used herein shall have the same meanings as those defined in the Announcements.

The Board wishes to clarify that according to the disclosure of interest notice filed on 12 April 2021 by Mr. Wong Shu Yui ("Mr. Wong"), who owns 35% issued share capital of Great Diamond, as at 31 March 2021, being the date of completion of the CB Placing, Mr. Wong personally held 43,874,000 Shares, representing approximately 3.49% of the issued share capital of the Company before completion of the Share Placing and approximately 3.17% of the issued share capital of the Company as at the date of this announcement.
