Issue of equity, total voting rights

Camkids Group plc (AIM: CAMK), a leading Chinese designer, manufacturer and distributor of branded outdoor clothing, footwear and equipment for children, announces that, following the final date for receipt of Scrip Dividend Mandates, an application for the issue of 678,292 new ordinary shares ("Scrip Shares") of nil par value has been submitted to AIM. Camkids anticipates that the Scrip Shares will be admitted to trading on or around 19 December 2014 ("Admission").

As announced on 29 September 2014, Zhang Congming, Camkids' Chairman, considers that the current share price of the Company is fundamentally undervalued. However, at the same time, he understands the concerns of investors in relation to an increase of his own shareholding. Accordingly, Mr Zhang will acquire 451,501 of the Scrip Shares, resulting in no increase in the percentage of his overall holding. Following Admission, Mr Zhang's total shareholding will be 52,028,788 ordinary shares, representing 66.91% of the enlarged issued share capital. He will receive the remainder of his dividend in cash. Zhang Congming's entire shareholding is held through Starbeams Group Limited, a company incorporated in the BVI. Zhang Congming is the sole director and shareholder of Starbeams Group Limited.

Total voting rights

On Admission, the Company's issued share capital will consist of 77,759,360 ordinary shares of nil par value with one voting right each. Camkids does not hold any shares in treasury. Accordingly, the total number of ordinary shares and voting rights in the Company will be 77,759,360. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.

Camkids is a leading Chinese designer, manufacturer and distributor of branded outdoor clothing, footwear and equipment for children and teenagers.

Based in Fujian province in China, the Group focuses on teenage sportswear for outdoor activities, combining functionality and innovation. The products are mid-range price based, targeting mid and high range markets within China.

The three main product areas are:

Camkids' primary route to market for the sale of its products is through its network of distributors. The Group has established an extensive distribution network across 29 provinces, 4 municipalities and 5 autonomous regions within the PRC and is successfully expanding its presence in tier 3 and tier 4 cities. The Group has 17 authorised distributors operating over 1,285 franchised retail outlets, and is in the early stages of developing an online e-commerce platform to target online retail.

Camkids has received a number of prestigious awards. In January 2014, the Group was recognised by Asia Brand Association as the Top Brand in China for 2013 and the top ten Industry Customer Satisfaction Brand's. The Group's Chairman also received the Brand China 'People of the Year' award.
